Terms of service

The terms that govern access to refd's hosted website, dashboard, API, monitoring service, and remote MCP connector.

These Terms of Service (Terms) are an agreement between you and Mohammad Hamza Suhail, the Ireland-based operator of refd (refd, we, us, or our). They govern your access to refd.ai, dash.refd.ai, api.refd.ai, the hosted AI search monitoring product, and the hosted remote MCP server (together, the Service).

By accessing the authenticated Service, creating an account, authorizing an MCP connection, or otherwise using the hosted Service, you agree to these Terms. If you use the Service for an organization, you confirm that you have authority to bind that organization, and you includes that organization.

The hosted and open-source products

refd provides software for monitoring how selected brands appear in answers collected from supported AI surfaces. The hosted Service includes workspace setup, scheduled or one-time collection, calculated metrics, answer evidence, dashboard features, and optional read-only MCP access.

The source code published in the emaitchess/refd repository is licensed separately under the MIT License. These Terms do not replace that license. If you operate a self-hosted deployment, you are responsible for its infrastructure, provider accounts, security, users, notices, legal compliance, and costs.

Eligibility and accounts

You must be at least 18 years old and legally able to enter a contract. The hosted product is intended for business use and requires an eligible business email address.

You agree to provide accurate account information, keep your password and authorized clients secure, and promptly notify us at h@emaitchess.com if you suspect unauthorized use. You are responsible for activity performed through your account and for ensuring that each person or system using it has permission.

Accounts are individual and workspaces are currently owner-managed. You may not sell, transfer, or share an account in a way that defeats access controls or service limits.

Customer content

Customer Content means the information you submit to or create in the Service, including brand and competitor details, domains, aliases, buyer questions, prompts, workspace settings, dashboard chat messages, and feedback.

You retain your rights in Customer Content. You grant refd a non-exclusive, worldwide, royalty-free license to host, copy, transmit, transform, and process Customer Content only as needed to:

  • Provide, secure, maintain, and support the Service.
  • Submit monitoring prompts to the configured collection provider.
  • Generate requested onboarding drafts, suggestions, sentiment labels, summaries, and dashboard answers.
  • Operate MCP connections that you authorize.
  • Prevent abuse and comply with law.

You confirm that you have the rights and permissions needed to provide Customer Content and instruct us to process it. Do not submit highly sensitive personal information, payment-card data, health information, government identifiers, or content that you are not permitted to use.

We treat non-public Customer Content as confidential and use it only for the purposes described in these Terms and the Privacy policy, except where disclosure is required by law or authorized by you.

Monitoring data and third-party answers

The Service sends selected buyer questions and collection settings to Bright Data and receives responses associated with supported AI surfaces. The resulting answers, source excerpts, links, names, and other material may be created or owned by third parties.

refd does not claim ownership of third-party answer content. Access to an answer through refd does not grant you a license to republish or commercially exploit that answer. You are responsible for how you use or distribute reports, exports, citations, and third-party material.

AI answers and search results are probabilistic, incomplete, and subject to change. Provider access, geography, timing, product interfaces, and the questions selected can affect the result. A metric describes the evidence refd collected under the configured conditions. It is not a promise that every user will see the same answer, and it does not establish why a metric changed.

The Service is an analytical tool. Its output is not legal, financial, investment, medical, advertising, or other professional advice.

MCP connections and other integrations

You may authorize a compatible MCP client to read one selected workspace. Each grant is limited to the scopes shown during authorization and can be revoked from Settings.

An authorized client is a separate service controlled by you or a third party. Its handling of data is governed by its own terms and privacy practices. You are responsible for selecting trustworthy clients, reviewing requested access, and revoking a connection that is no longer needed.

The hosted MCP server is read-only. It cannot modify workspace data or start a provider-spending monitoring run. We may change available tools, resources, or protocol support as the Service evolves.

Acceptable use

You may use the Service only for lawful business purposes. You must not:

  • Violate applicable law, regulation, sanctions, intellectual-property rights, privacy rights, provider terms, or contractual duties.
  • Use the Service to monitor, profile, harass, or discriminate against a person or protected group.
  • Upload malicious code or use content designed to compromise refd, a provider, an AI system, or another user.
  • Probe or bypass authentication, authorization, workspace isolation, rate limits, entitlement checks, surface limits, or usage controls.
  • Interfere with the Service, overload infrastructure, automate abusive account creation, or attempt to access another customer’s data.
  • Misrepresent reports, fabricated demo data, or AI answers as independently verified facts.
  • Resell or provide the hosted Service as a competing service without written permission.

Reasonable use of the open-source code under the MIT License is not restricted by this acceptable-use section. The section applies to the hosted Service and infrastructure.

We may investigate suspected violations and suspend access when reasonably necessary to protect users, providers, or the Service.

Service limits and changes

Plans and entitlements may limit workspaces, prompts, AI surfaces, samples, collection frequency, storage, MCP calls, or other resources. Limits shown in the product, an order, or plan description form part of these Terms.

Monitoring can consume paid third-party provider capacity. You may not trigger, automate, or circumvent provider-spending actions beyond the controls made available to your account.

We may add, remove, or change features and supported providers. We will use reasonable care to avoid a material reduction in a paid Service during a current billing period, but no specific feature, surface, model, provider, or integration is guaranteed to remain available.

The Service may be interrupted for maintenance, security, provider failure, or events outside our reasonable control. No uptime service-level agreement applies unless a separate written agreement expressly provides one.

Fees, renewals, and taxes

Some plans or evaluation access may be offered without charge. If you purchase a paid plan, the price, included usage, billing interval, renewal terms, and any trial or cancellation conditions shown at checkout or in a written order apply. You authorize the disclosed payment method to be charged accordingly.

Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes other than taxes on our income. Except where an order says otherwise or law requires it, fees already paid are non-refundable and cancellation takes effect at the end of the paid billing period.

We will give reasonable advance notice of a price change that affects a renewing paid subscription.

Intellectual property

Except for Customer Content, third-party material, and MIT-licensed source code, refd and its operator retain all rights in the hosted Service, website copy, visual design, branding, compiled service components, and documentation. No rights are granted except the limited right to use the Service under these Terms.

If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or payment, provided we do not identify you publicly without permission.

Suspension, termination, and deletion

You may stop using the Service at any time. The product allows you to delete individual workspaces and to delete the complete account from Settings.

We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay an amount due, abuse providers or infrastructure, or if continuing the Service is no longer reasonably possible. When practical, we will provide notice and an opportunity to correct the issue. We may act immediately where needed to prevent harm.

Upon termination, your right to use the hosted Service ends. Account deletion removes active account and workspace data as described in the Privacy policy. Provisions that by their nature should survive, including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms, remain in effect.

Disclaimers

To the fullest extent permitted by law, the Service is provided as is and as available. refd disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.

We do not warrant that the Service will be uninterrupted, error-free, secure against every threat, or compatible with every provider or MCP client. We do not warrant the accuracy, completeness, legality, availability, or usefulness of third-party answers, citations, provider data, generated suggestions, or calculated metrics.

Nothing in these Terms excludes a warranty or right that applicable law does not allow the parties to exclude.

Limitation of liability

To the fullest extent permitted by law, refd and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, business opportunity, or data, arising from or related to the Service.

To the fullest extent permitted by law, total liability for all claims arising from or related to the Service will not exceed the greater of:

  1. The fees you paid for the hosted Service during the 12 months before the event giving rise to the claim.
  2. US$100.

These limits apply regardless of the form of action and even if a remedy fails of its essential purpose. They do not apply to fraud, fraudulent misrepresentation, willful misconduct, death or personal injury caused by negligence, or another liability that cannot lawfully be limited.

Indemnity

If you use the Service for a business, you will defend and indemnify refd and its operator against third-party claims, losses, and reasonable costs arising from your Customer Content, your unlawful or unauthorized use of the Service, or your material breach of these Terms. This obligation does not apply to the extent a claim was caused by our breach, negligence, or willful misconduct.

Applicable law and disputes

Before starting formal proceedings, the parties will try in good faith to resolve a dispute by contacting h@emaitchess.com and allowing 30 days for a response.

These Terms and non-contractual disputes relating to them are governed by the laws of Ireland, without regard to conflict-of-law rules. The courts of Ireland have exclusive jurisdiction, except where mandatory law gives you the right to bring a claim in another forum.

Changes to these Terms

We may update these Terms to reflect changes to the Service, providers, law, or risk. The effective and updated dates at the top identify the current version. For a material change, we will provide reasonable advance notice through the Service, website, or account email when appropriate.

If you continue using the Service after revised Terms take effect, you accept the revised Terms. If you do not agree, you must stop using the hosted Service and cancel any renewal before the change takes effect.

General

These Terms, the Privacy policy, and any applicable order form are the entire agreement about the hosted Service. If an order conflicts with these Terms, the order controls for that purchase.

You may not assign these Terms without our written consent. We may assign them as part of a reorganization, financing, or transfer of the Service. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective.
